The parties have agreed on AED 420,000. Everyone expects the remaining paperwork to be straightforward. Then someone asks whether the supplier will release its claim when the agreement is signed or when the final instalment reaches its account. Another person asks who will discharge the existing guarantee. The apparent agreement suddenly contains several different deals.
That is a hypothetical example, but it captures a recurring drafting problem. Agreement on a headline amount leaves the mechanics unresolved. Lawyers in Dubai assessing a settlement should examine how the exchange will happen, what each side must do first and what survives if performance stops halfway through.
A workable settlement gives people instructions they can follow without renegotiating the meaning of every clause. Its value is measured on the payment date, the handover date and the day something goes wrong.
Start with a chronological account of performance. Identify the signature, any initial payment, the exchange of property or documents, later payments and the final release. Give each event an owner. Where one action depends on another, describe the dependency expressly.
For example, a contractor may agree to return equipment after an initial payment. The customer may expect a final invoice adjustment first. If each obligation simply appears in a separate paragraph, both parties might insist that the other must perform before they do. Writing the sequence exposes the circular arrangement while there is still time to fix it.
A lawyer in Dubai can test the proposed order by asking each operational participant what they need to complete their step. A finance department may require an approved payment instruction. A warehouse may require a named recipient. An external bank may need an authority document. These practical requirements should influence the agreement rather than emerge after signature.
The agreement should distinguish an instruction to transfer money from receipt of cleared funds. It should identify the currency, recipient and account confirmation process, together with the allocation of bank charges. A payment to the wrong company in a group may create a new dispute even when the amount is correct.
Account details deserve a secure verification process outside an unverified email exchange. The person approving the settlement should know how a subsequent account change must be authenticated. An agreement can specify that a change becomes effective only through an agreed channel and appropriate confirmation.
Where payment depends on another transaction, that dependency needs honest examination. A promise to pay following a future asset sale gives the creditor exposure to a transaction it may not control. Lawyers in Dubai can assess whether a definite payment obligation, a defined condition or another structure better expresses the commercial bargain. Describing an uncertain receipt as guaranteed cash creates false confidence.
A release deserves its own negotiation. The payer may want finality immediately. The recipient may want to retain leverage until every obligation is completed. The wording should reflect the intended point at which the relevant rights are discharged.
In the hypothetical supplier dispute, the settlement amount could be paid in three instalments. The agreement must explain the position after the first two payments if the third is missed. Have the original claims already been released? Does an unpaid settlement debt remain? Can any earlier rights be pursued, and on what legally valid basis? Those questions require a considered structure, not a sentence asserting that everything automatically returns to its previous state.
The current UAE Civil Transactions Law addresses the rights covered by settlement and the effect of definitive waivers. Its capacity provisions also matter where rights are surrendered. Accordingly, the adviser should identify the applicable law and its temporal application before settling the release language. The practical lesson is to define the covered dispute and any reserved rights with care.
Descriptions such as all disputes between the parties can reach further than either side expects. An unpaid invoice dispute may sit alongside a separate warranty problem. A settlement should make clear whether both are included. The same care applies to claims belonging to other group companies, insurers or individuals.
Lawyers in Dubai should ask who owns each right being surrendered. A signatory cannot be assumed to control another person’s claim merely because that person shares an address or commercial interest. If additional parties are needed, their participation and authority should be addressed explicitly.
The scope of a civil settlement should also be assessed where public interests or other legal processes are involved. The parties should not assume that a private agreement can determine what a regulator or prosecution authority may do. If the proposal includes withdrawal of a complaint, the legal ability to take that step and its actual effect need separate advice.
Security has to be useful when called upon. A guarantee from a company with no resources might add a signature without improving recovery. A promised asset may already be encumbered, outside the intended jurisdiction or unavailable for the proposed arrangement.
Ask when security must be delivered and what verification is required before concessions become effective. Identify its scope, expiry and release conditions. If security is intended to cover several instalments, check whether it remains effective until the last relevant obligation has been discharged.
A lawyer in Dubai should examine any formalities needed for the chosen security and whether another creditor’s rights affect its value. A settlement document alone should not be treated as proof that a valid security interest has been created. The drafting exercise must connect with the separate steps that make the protection effective.
A default clause should explain which failures matter and what follows. Late payment, failure to deliver an agreed document and breach of confidentiality raise different issues. Treating every minor administrative omission as the same event can make the agreement difficult to operate.
Consider how notice is delivered, whether an opportunity to remedy is appropriate and how a disputed notice will be evidenced. If accelerated payment is proposed, determine the precise trigger and obtain advice on the clause’s operation. Any proposed compensation for breach needs assessment under the applicable law. Simply naming a sum does not establish that it will be recoverable in every situation.
People comparing the best lawyers in Dubai for settlement work should ask how the adviser would handle a missed obligation. The answer should refer to the actual draft. If it needs several assumptions that the document never states, the draft needs more work.
Negotiations may be conducted by someone who can discuss terms but cannot approve the final compromise. The settlement process should identify who must authorise the payment, the waiver and any security. Different acts may require different permissions.
A company stamp, a job title or attendance at negotiations should not replace an assessment of authority. Where a representative signs, the relevant corporate documents or power should be checked for the transaction in question. If court approval or another consent is needed because of the parties or subject matter, build that requirement into the timetable.
Lawyers in Dubai can also examine whether the draft properly distinguishes a personal undertaking from an undertaking by a company. A signature placed below ambiguous party details may invite a later argument about who accepted the obligation. Clear identification is a substantive protection.
Confidentiality clauses often become impractical because they ignore legitimate disclosures. A party may need to inform its accountants, auditors, bank, insurer or advisers. Legal duties and court processes may require disclosure. The clause should accommodate relevant circumstances without giving unrestricted permission to publish the dispute.
If a public statement is part of the settlement, agree its actual wording and who may issue it. Expressions such as a mutually acceptable announcement postpone the disagreement. A party expecting a correction or removal of online content should define the material and the action required, subject to the person’s actual control over it.
Negotiating correspondence should also be handled on the basis of applicable rules and advice. Adding a familiar confidentiality label does not by itself determine whether a document can be disclosed or relied upon in every forum.
The legal form of the settlement matters. Article 212 of the UAE Civil Procedure Code recognises specified execution writs, including court certified settlement memoranda. The parties should obtain advice on which available form suits their dispute and what steps are needed. A privately signed agreement should not automatically be described as immediately executable.
Before signing, read the document as if the relationship has already deteriorated. Can the unpaid amount be calculated? Can the performance required be identified? Does the agreement say who bears outstanding proceedings costs and what happens to existing procedural measures? These are questions about future operation, not pessimism.
