Spain is attracting international capital at an increasingly significant pace.
Foreign direct investment in the country increased by 31.2% during the first half of 2026, reaching approximately €12.45 billion. While the headline figure is significant in itself, the latest data reveal something broader about the direction of international investment in Spain.
Foreign investors are not simply acquiring existing assets. Investment in new projects is also growing considerably, suggesting that international companies and investors are increasingly prepared to establish operations, expand businesses and make longer-term commitments to the Spanish market.
For Spain, this strengthens its position as an international investment destination. For foreign investors, it also makes understanding the legal and regulatory environment surrounding those opportunities increasingly important.
The United States remains the largest source of foreign investment in Spain, accounting for approximately 23% of the total during the first half of 2026. At the same time, one of the most notable developments has been the growth of investment in new productive projects.
Greenfield investment increased by more than 52% during the period. Together with brownfield projects, these investments represented almost a third of total foreign direct investment entering Spain.
This is important because it tells us more than the overall investment figure alone.
The growth of new projects suggests that international investors are increasingly looking beyond individual acquisitions and considering Spain as a jurisdiction in which to establish or expand a longer-term presence.
Spain’s position internationally reinforces this trend. During the first seven months of 2026, the country ranked as the fourth-largest destination worldwide for foreign investment projects, behind the United States, the United Kingdom and India.
The picture that emerges is therefore not simply one of more foreign capital entering Spain, but of international investors becoming more deeply involved in the Spanish economy.
As international investment grows, more foreign companies and private investors will find themselves navigating the Spanish legal and regulatory framework, in many cases for the first time.
Establishing operations in Spain can raise very different considerations from simply purchasing an existing asset. The appropriate corporate structure, regulatory requirements, financing arrangements, employment obligations and tax implications may all need to be considered before the investment is made.
The same principle applies to acquisitions.
A real estate investment may appear commercially attractive but involve urban planning restrictions, licensing requirements or limitations affecting the investor’s intended use of the property. The acquisition of a Spanish company may require a detailed review of corporate documentation, contractual liabilities, employment matters and regulatory obligations.
The strength of the wider Spanish market may identify opportunities, but it does not determine whether an individual transaction is viable.
For international investors, the more important question is therefore whether a particular opportunity remains attractive once its legal, regulatory and tax position has been properly understood.
The changing profile of foreign investment in Spain also makes transaction structure increasingly relevant.
An investor may enter the Spanish market through a direct acquisition, the purchase of shares in an existing company, the incorporation of a Spanish subsidiary or another structure adapted to the particular project.
The structure selected can affect taxation, liability, governance, financing and eventually the investor’s exit from the investment.
Spain’s foreign investment rules must also form part of this analysis. Certain transactions may be subject to reporting requirements or, depending on factors such as the investor, the sector concerned and the nature of the transaction, prior authorisation.
These issues are significantly easier to address before contractual commitments have been made.
Legal advice should therefore not be viewed simply as a final verification before completion. Particularly where investors are establishing a new presence in Spain, legal and tax planning should form part of the investment strategy from the beginning.
Spain’s 31.2% increase in foreign direct investment during the first half of 2026 reflects the continued strength of international interest in the Spanish market.
Perhaps more significantly, the growth in new investment projects suggests that foreign investors are increasingly looking beyond individual acquisitions and choosing Spain as a market in which to establish, expand and invest for the longer term.
For international investors considering opportunities in Spain, this momentum is encouraging. However, it also highlights the importance of approaching each investment with careful preparation. Market opportunity alone does not determine the success of a transaction; the legal structure, tax implications, regulatory environment and risks specific to the investment must also be properly understood.
