Businesses operating in sectors regarded by banks and financial institutions as high risk can often face difficulties accessing reliable European banking and payment infrastructure.
This can affect businesses operating in areas such as online gaming, digital assets and crypto, fintech, subscription-based services, online entertainment, adult-oriented digital businesses, affiliate marketing, dating platforms, international e-commerce and other digital or cross-border industries.
Even where the underlying business is lawful and appropriately licensed where required, European banks, Electronic Money Institutions (EMIs), Payment Service Providers (PSPs) and card acquirers may apply enhanced due diligence or have a more restrictive risk appetite.
As a result, international businesses may experience difficulties opening merchant accounts, obtaining card-processing facilities or establishing stable relationships with European payment providers.
One possible solution is the establishment of a Cyprus-based Payment Processing Agent (PPA) — a Cyprus company established to perform defined payment-related, administrative and commercial functions between an international operating business and European banks, PSPs, EMIs and payment gateways.
When structured correctly, a Cyprus PPA can provide a recognised EU presence and facilitate access to European financial infrastructure, while maintaining a clear and transparent relationship with the principal operating company.
(a) EU Presence and Credibility
A Cyprus company provides a recognised corporate presence within the European Union and Eurozone.
For international businesses operating from non-EU or higher-risk jurisdictions, establishing an EU entity can create a more familiar corporate environment for banks, payment providers and commercial counterparties.
A genuine Cyprus presence can also strengthen the overall corporate structure and provide greater transparency when dealing with European financial institutions.
(b) Access to EU Financial Infrastructure
A Cyprus PPA can provide the group with an EU entity through which it may approach suitable:
This can be particularly useful where the principal operating company is located in a jurisdiction or industry that certain European financial institutions are reluctant to service directly.
However, the underlying business must always be accurately disclosed. Establishing a Cyprus company does not guarantee banking or PSP acceptance, as each institution applies its own compliance requirements and risk appetite.
(c) Attractive Corporate and Tax Framework
Cyprus provides an established corporate and tax framework for internationally operating businesses.
From 1 January 2026, the standard Cyprus corporate income tax rate is 15%.
Cyprus also maintains an extensive network of double-tax treaties, making it an established jurisdiction for international corporate structures.
Where the Cyprus PPA performs genuine services for the principal operating company, it may charge an appropriate management, administration or processing fee.
Such arrangements should reflect the actual services provided and comply with applicable tax and transfer-pricing requirements.
(d) Payment Services Regulatory Position
A Cyprus PPA does not necessarily require a Payment Institution licence simply because it performs administrative or payment-related functions for another group company.
However, whether authorisation is required depends on the actual activities performed by the Cyprus company.
Where the company itself provides regulated payment services — for example, where its activities involve receiving, controlling, transferring or executing payments in a manner falling within the Cyprus payment-services framework — authorisation or another appropriate regulated arrangement may be required.
The structure must therefore be assessed according to its substance and actual flow of funds rather than simply being described as a “Payment Processing Agent”.
(e) AML/KYC and Compliance
Businesses operating in higher-risk sectors should expect enhanced compliance requirements from banks and payment providers.
Depending on the business model and regulatory status, the Cyprus PPA may need appropriate procedures concerning:
A well-documented compliance framework can significantly assist during banking and PSP onboarding and in maintaining those relationships over the long term.
Establishing a Cyprus Payment Processing Agent involves creating a structured link between the principal operating business and European financial institutions.
A typical structure may operate as follows:
(a) Principal Operating Company
The principal company carries out the underlying commercial activity.
Depending on the sector, this company may operate the platform, provide services to customers, own the relevant intellectual property and hold any regulatory licences or authorisations required for the underlying business.
The principal company may be established within or outside the EU.
For businesses operating from jurisdictions or sectors classified as higher risk, obtaining direct access to European banking and payment providers can sometimes be challenging.
(b) Cyprus PPA Company
A subsidiary or affiliated company is established in Cyprus to act as the group’s Payment Processing Agent or payment-related service company.
The Cyprus entity does not necessarily conduct the underlying regulated or commercial activity of the principal company.
Instead, depending on the agreed structure, its role may include:
The relationship between the Cyprus PPA and the principal operating company should be clearly documented through appropriate service or agency agreements.
Where the Cyprus entity is intended to receive or control customer funds, its regulatory position should be reviewed carefully before operations commence.
(c) Banking & PSP Integration
The Cyprus PPA can apply for dedicated accounts with appropriate European banks, EMIs, PSPs and payment providers.
These relationships can be used to support the group’s European payment infrastructure, subject to the agreed payment model and the requirements of the relevant financial institution.
During onboarding, banks and PSPs may examine:
The Cyprus entity should therefore be presented as part of a transparent group structure rather than as a means of concealing the underlying business.
(d) Flow of Funds
Depending on the structure and regulatory analysis, payment flows may involve the Cyprus PPA, the relevant PSP or banking provider and the principal operating company.
A properly structured arrangement should clearly identify:
The Cyprus PPA may reconcile transactions and provide agreed administrative or processing services to the principal company.
In return, the Cyprus company may charge an appropriate management, administration or processing fee, which forms part of its taxable income in Cyprus.
Any remaining funds are dealt with in accordance with the applicable contractual, banking and regulatory arrangements.
(e) Tax & Commercial Benefits
A properly established Cyprus PPA can provide several commercial benefits:
Related-party fees should be commercially supportable and comply with applicable transfer-pricing requirements.
(f) Compliance & Governance
A Cyprus PPA should operate with appropriate compliance procedures and corporate governance.
Depending on its activities, this can include:
For businesses operating in higher-risk industries, maintaining a clear and transparent compliance framework can be particularly important when dealing with European financial institutions.
A Cyprus PPA structure is not limited to one particular industry.
Depending on the business model, regulatory position and acceptance by financial institutions, it may potentially be considered by businesses operating in sectors such as:
The appropriate structure will differ between industries.
A business being classified as “high risk” by a financial institution does not necessarily mean that the underlying activity is unlawful or that every high-risk business is subject to the same regulatory requirements.

Final Considerations
For international businesses operating in higher-risk sectors, access to reliable European banking and payment infrastructure can be a significant commercial challenge.
A Cyprus-based Payment Processing Agent can potentially provide an effective bridge between the principal operating business and European banks, EMIs, PSPs and payment providers.
Cyprus offers the advantages of an EU and Eurozone corporate presence, an established international business environment, a broad double-tax-treaty network and a competitive corporate framework.
However, the structure must be implemented correctly.
The Cyprus PPA should have a genuine commercial role, transparent ownership, properly documented payment flows, appropriate compliance procedures and a regulatory position consistent with the functions it actually performs.
When structured appropriately, a Cyprus PPA can form a valuable part of an international group’s European payment and operational infrastructure.
Dionysiou Legal can assist with the establishment and structuring of Cyprus Payment Processing Agent companies, including incorporation, commercial agreements, payment-flow structuring, corporate governance and regulatory considerations.
