Crypto Licence in Saint Lucia 2026: Requirements, Costs & Process

The main trend remains the same: the crypto world is moving toward stricter rules. In the past, we helped many clients register crypto companies in Saint Lucia because it had no regulations and was very easy for startups to enter. However, the global market has changed completely. Today, we will look closely at the new crypto license in Saint Lucia.

What Is a Crypto License in Saint Lucia in 2026?

A crypto license in Saint Lucia is an official permission for Virtual Asset Service Providers (VASPs). It is issued by the government regulator, the Financial Services Regulatory Authority (FSRA). This license allows companies to legally provide cryptocurrency and virtual asset services within the country and globally.

Why Businesses Choose Saint Lucia

In the business world, Saint Lucia is well-known as a Caribbean country where you can set up a company quickly and do business without a heavy tax burden. Just like in other offshore jurisdictions, International Business Companies (IBCs) here do not pay corporate income tax if their income is earned outside the country. This makes it a very convenient and profitable solution for international companies.

Saint Lucia was also one of the first Caribbean countries to create a real crypto licensing system. It started in December 2022 when the government passed the Virtual Asset Business Act (VABA) — Act No. 24 of 2022. This was the country’s first step toward regulating digital assets.

This law is managed by the FSRA. This is the same government regulator that supervises banks, insurance companies, and money transfer businesses in Saint Lucia. The regulator spent time preparing the rules, and in 2026, the full crypto license became officially available.

Now, businesses can get the best of both worlds: easy business setup and tax advantages, combined with clear official rules and the legal status of a licensed crypto company. Saint Lucia is a place where simplicity and legal safety come together.

How Is Cryptocurrency Regulated in Saint Lucia?

The regulation of crypto activities in Saint Lucia is governed by the Virtual Asset Business Act (VABA) – Act No. 24 of 2022 – as amended by the Virtual Asset Business Regulations, No. 37 of 2025, and other clarifications and comments issued by the Financial Services Regulatory Authority (FSRA).

Depending on its class, a crypto license in Saint Lucia allows companies to engage in the following activities:

  • Full Multi-Service Provider: Includes all services described below (exchange services, custodial wallet services, virtual asset payment services, and advisory services).
  • Class A – Exchange Services: Covers platforms facilitating exchange between virtual assets and fiat currencies, or between different virtual assets. Includes centralized exchanges, OTC desks, and crypto-to-fiat on/off ramps.
  • Class B – Custodial Wallet Services: Covers entities providing custody and administration of virtual assets on behalf of clients, including private key management, cold and hot wallet storage, and safekeeping services.
  • Class C – Virtual Asset Payment Services: Covers entities facilitating payments in virtual assets – including crypto payment gateways, cross-border crypto remittance, and virtual asset-based payment processing.
  • Class D – Virtual Asset Advisory Services: Covers investment advisory, portfolio management recommendations, and consulting services specifically in relation to virtual assets.

Obtaining a license requires establishing a local company, having an office and a representative, implementing a robust platform, as well as policies and procedures for service provision, anti-money laundering and counter-terrorism financing, customer protection, risk assessment, and more. Following a detailed assessment, the FSRA issues a crypto license and oversees the activities of licensees.

What Are the Key Requirements for a Crypto Business in Saint Lucia?

Clear regulation. Saint Lucia provides a defined legal framework for virtual asset businesses, making licensing requirements and compliance obligations more predictable.

International opportunities. A regulated company can work with foreign partners and enter new markets.

Tax-efficient structure. Depending on the business model and tax residency, internationally operating companies may benefit from favourable tax treatment.

Corporate confidentiality. Beneficial ownership information is submitted to the authorities but is not generally available to the public.

Growing fintech ecosystem. Saint Lucia supports digital finance development and places increasing emphasis on AML, FATF standards, and financial innovation.

How to Obtain a Crypto License in Saint Lucia: Step-by-Step

The procedures for obtaining a crypto license are very similar no matter where on the map we look. It all starts with setting up a local company. In Saint Lucia, this is an International Business Company (IBC).

  • Flexible Structure: To obtain a Saint Lucian crypto license, it’s not necessary to have local shareholders or directors; these roles can be filled by individuals from other jurisdictions (who, of course, are not subject to sanctions, have a clean criminal record, and meet the regulator’s requirements).
  • Corporate Founders: A company in Saint Lucia can be established by either an individual or another company — it is important to clearly and transparently disclose the structure and relationships.
  • Local Representation: Local representatives do not necessarily have to be AML officers or directors; they can be individuals with relevant experience. The company must have a single local representative in Saint Lucia who serves as the liaison between the business and the regulator.
  • Financial Stability: A company seeking to obtain a crypto license in Saint Lucia must demonstrate financial stability by depositing a minimum amount of authorized capital in a local bank.
    • 20% of the issued paid-in capital must be held at a licensed Saint Lucian bank as a mandatory reserve requirement.
    • An escrow account holding at least 15% of average client liabilities must cover both fiat currencies and virtual assets held on behalf of clients.

The amount of authorized capital depends directly on the company’s planned activities:

Full Multi-Service Provider 250,000 USD
Class A – Exchange Services 250,000 USD
Class B – Custodial Wallet Services 200,000 USD
Class C – Virtual Asset Payment Services 150,000 USD
Class D – Advisory Services 100,000 USD

In addition to the capital and reserve requirements, the applicant company must maintain a physical presence in Saint Lucia. This means that a local office is required, and the relevant lease agreement must be submitted to the regulator as part of the licensing file.

The company is also expected to meet ongoing reporting and governance standards. In particular, it must prepare and submit audited financial statements on an annual basis. It should also have internal policies and procedures covering customer support, fraud prevention, anti-money laundering controls, and measures aimed at preventing terrorist financing.

Technology infrastructure is another key area of regulatory attention. Before launching its operations, the company must complete an independent IT audit performed by a CISA-certified specialist or another suitably qualified professional. The regulatory regime also requires recurring independent IT and cybersecurity audits to confirm that the company’s systems remain secure, reliable, and compliant over time.

Overall, Saint Lucia applies a structured and serious regulatory approach to businesses involved in crypto-related activities. For this reason, obtaining a Saint Lucia crypto license may serve as a strong credibility signal for banks, partners, payment providers, and other counterparties, demonstrating that the business operates under a more formal and reliable compliance framework.

What are the benefits of getting a crypto license in Saint Lucia?

The Saint Lucia crypto license is one of the most versatile options in the world of crypto licensing. Saint Lucia has developed regulations under which a company can apply simultaneously for all types of regulated crypto activities, while meeting higher requirements, utilizing a larger authorized capital, and being subject to stricter oversight.

On the other hand, if your company plans to operate exclusively in a specific area (for example, providing custody services), you do not need to contribute as much capital as a large crypto exchange would — the regulator sets specific and clear requirements tailored specifically to your business.

In other words, among offshore crypto licenses, Saint Lucia takes a personalized approach to businesses by establishing different thresholds for various models of crypto activity. However, it’s important to remember that the general requirements regarding an office, a local bank account, policies and procedures, a local company, and a representative apply to all applicants, regardless of the type of license.

What Are the Key Requirements for a Crypto Business in Saint Lucia?

As mentioned above, obtaining a crypto license in Saint Lucia requires the applicant company to comply with a set of regulatory, operational, technical and financial requirements. The licensing process is structured and involves several key stages. Below is a practical overview of how the process usually works, what should be prepared at each stage, and what the applicant may expect during the review.

Step 1: Structuring and incorporation of the company

The first stage involves preparing the corporate and operational structure of the project. This includes reviewing the business model, identifying the appropriate class of license, assessing regulatory and operational risks, and determining how those risks should be mitigated. At this stage, the applicant usually incorporates a local company, opens a bank account with a licensed Saint Lucian bank, arranges a local office, appoints a local representative, prepares the platform for an independent IT audit, and obtains any necessary confirmations or opinions from relevant partners.

Step 2: Preparation and submission of the application to the FSRA

Once the structure is ready, the company proceeds with the preparation of the licensing file. This stage includes drafting and finalising the required policies, procedures and internal frameworks, collecting documents from shareholders, directors and other key persons, completing the Saint Lucia crypto license application form, paying the applicable government fee, and formally submitting the application package to the Financial Services Regulatory Authority.

Step 3: Review of the application by the FSRA

After submission, the FSRA reviews the application, supporting documents, platform, internal policies, key personnel and the overall business model of the applicant. The purpose of this review is to determine whether the company satisfies the legal and regulatory requirements for the requested class of crypto license. During this stage, the regulator may issue additional questions, request clarifications, or ask for supplementary documents. In practice, the review period usually takes around 3 months.

Step 4: Approval of the license and inclusion in the official register

If the regulator is satisfied with the application and the company meets the applicable requirements, the FSRA grants the crypto license according to the relevant license class. The licensed company is then entered into the official register of authorised entities. From that point, the company may legally carry out the approved crypto-related activities and provide services to clients within the scope of its license.

Is Crypto Taxed in Saint Lucia?

One of the reasons why Saint Lucia is chosen as a business location is its classic offshore approach to taxation. In other words, profits earned outside the island are not subject to corporate income tax. This is the best solution for international entities that are accustomed to working remotely, providing services quickly, and not being strictly tied to local clients.

Another important advantage of Saint Lucia is the absence of withholding tax on dividends as well as the absence of capital gains tax.

The general applicable VAT rate in the country is 12.5%.

How Can SBSB Fintech Lawyers Help You Get a Crypto License in Saint Lucia?

SBSB FinTech Lawyers supports crypto companies throughout the entire licensing process in Saint Lucia, from the initial assessment of the business model to communication with the Financial Services Regulatory Authority and the final launch of regulated operations.

Our specialists analyse the proposed activities, determine the appropriate licensing scope and identify potential regulatory risks before the application is submitted. We also assist with the corporate structure, local incorporation, banking arrangements, capital planning, compliance documentation, internal policies and coordination of the required technical review.

Particular attention is given to the consistency of the application file. The business plan, AML framework, financial projections, ownership structure and platform description must reflect the same operating model. By identifying gaps and inconsistencies at an early stage, we help reduce the risk of delays, repeated regulatory questions and costly restructuring.

Saint Lucia’s new virtual asset framework creates additional obligations, but it also gives well-prepared businesses an opportunity to operate within a clear and supervised legal environment. A licensed structure may strengthen the company’s position when dealing with banks, payment providers, investors and commercial partners.

Companies that were already operating through a Saint Lucian entity before the introduction of the licensing regime should now reassess their activities and determine whether authorisation is required. SBSB FinTech Lawyers can help restructure the project, bring its operations into line with the current rules and guide the company through the transition to a fully regulated model.
