Enforcing a contract across borders brings real challenges for international parties operating in the United Arab Emirates. With the introduction of Federal Decree-Law No. 42 of 2022 on the Civil Procedure Code (the “New Civil Procedure Code”) in the UAE, the rules around recognising and enforcing foreign court judgments and arbitration awards have been clarified. This article explains what has changed in simple terms, how enforcement works in practice, and what you should watch out for when dealing with contracts that span jurisdictions.
Effective from January 2 2023, the new Code replaces the earlier law and sets out improved rules for civil procedures in the UAE. One of the most important parts for cross-border contracts is the section dealing with enforcement of foreign judgments, orders and instruments (Articles 222-235). The Code states that a foreign judgment may be enforced in the UAE provided certain conditions are met. The essence of the change is greater clarity and formality around the two-stage process of recognition followed by execution.
In practical terms, the UAE courts will grant recognition of a foreign judgment if the foreign court had jurisdiction, the judgment is final and binding in that jurisdiction, the parties were properly notified, and the judgment does not conflict with UAE public policy or morals. The New Code emphasises that even without a bilateral treaty between the UAE and the foreign state, enforcement may still be possible under Article 222. For the contract parties this means you must ensure the foreign judgment is solid in its origin jurisdiction and served properly. If not, there is a real risk the UAE court will refuse recognition or execution.
The updated Code also addresses jurisdiction. For example, the UAE courts may accept jurisdiction over a foreign defendant in certain circumstances, for instance if the defendant has elected domicile or residence in the UAE. If the UAE court already has jurisdiction over your dispute, and you then seek to enforce a foreign judgment instead of pursuing the case in the UAE, the court may decline recognition because of overlapping jurisdiction issues. From a contract perspective this means parties should carefully consider choice of law, jurisdiction clauses, and whether an elected domicile or performance location in the UAE may trigger UAE jurisdiction rather than relying purely on a foreign forum.
The enforcement of a foreign judgment phase can be seen in two steps. First is the recognition, or ratification, stage. The applicant submits a petition to the UAE execution judge and demonstrates the judgment meets the conditions under Articles 222-225. Second is the execution stage once recognition is granted. At the execution stage the parties move to attach assets, seek garnishments, or otherwise enforce the award under UAE execution procedures. In practice the execution stage may face delays if the debtor’s assets are hard to trace, or if there are objections on jurisdiction or public order grounds.
Several practical risks remain. One is the principle of reciprocity: the UAE court may ask whether the foreign country treats UAE judgments similarly. Even though the New Code allows enforcement without a treaty, courts still consider whether the foreign jurisdiction would reciprocate. Another risk is that some types of judgments will not be enforced, for example purely declaratory judgments or insolvency-based orders may be rejected. From a strategic point of view, when negotiating a contract you should anticipate these issues. A contract should specify the jurisdiction and forum carefully, address how serving process will occur, consider enforcement in the UAE or using UAE assets, and provide for arbitration or foreign court judgment in a jurisdiction more likely to meet the UAE requirements.
If you find yourself needing to enforce a foreign judgment against a counterparty with assets or connections in the UAE, begin by analysing the judgment’s origin. Check that it is final, binding, enforceable in that jurisdiction, and that both parties were properly served. Then evaluate whether the UAE courts have jurisdiction or whether enforcement of the foreign judgment in the UAE is appropriate under Article 222. Build a clear asset-tracing strategy in the UAE to identify whether the debtor has UAE-based assets that can be attached. You will also want to assess whether there are any public policy or morals objections in the UAE that might block enforcement.
In contract drafting you should include choice of jurisdiction and choice of law provisions that are compatible with UAE enforcement. For instance selecting a foreign forum is fine, but you should also anticipate what will happen if enforcement in the UAE becomes necessary. You may wish to include provisions for arbitration with an award recognisable in the UAE, or ensure that payment obligations reference UAE currency or UAE-based bank accounts. Consider permitting UAE service of process or expressly consenting to UAE jurisdiction in fallback. The more you anticipate enforcement in the UAE at the negotiation stage, the fewer surprises you will face later.
The new UAE Civil Procedure Code brings clearer rules for enforcement of foreign judgments and that’s given a lot more clarity for cross-border contract parties. But the enforcement is not automatic and you must satisfy jurisdiction, finality, service, reciprocity and public policy conditions. Proper contract drafting and enforcement planning in the UAE context remain critical.
