Mona Musat specializes in real estate & construction, project finance, being renowned for her in-depth knowledge and understanding of this sector due to her constant involvement in major projects conducted by top domestic and foreign companies in the construction industry, including founders, developers, financiers and contractors, in relation to matters ranging from the acquisition and sale of real estate, corporate and private leases to complex development projects and implementation of large retail activities. Her specializations include insolvency and corporate & debt restructuring, both in public and in private businesses and property securitization and litigation. Furthermore, she has participated in a number of public-private partnerships (PPP) and joint venture projects, successfully advising clients in corporate/commercial law, including share sale and purchase, distribution and management agreements. Over the time, she has assisted both Romanian and foreign companies in expanding their operations in Romania, including in connection with structuring joint ventures, addressing debt and funding issues and acquisitions or disposals of business.

Her recent work includes:

·         Advising COLAS, the world leader in the construction and maintenance of infrastructure for transport, urban development and recreational facilities, with regard to the renegotiation and restructuring of three FIDIC agreements concluded with The National Highway and Road Company (CNADNR) referring to (i) the design and build agreement for the 20 km of A2 highway connecting Bucharest with Cernavoda, (ii) the rehabilitation of over 75 km of DN1, one of the country’s major national roads, linking Bucharest with the north-west regions, and (iii) design and building contracts for the Suceava bypass.

·         Advising GRUPO PUENTES, during the public procurement process and throughout the implementation of some major public interest projects (infrastructure and other) to be developed in Giurgiu, Cluj, Turnu Magurele and Tulcea, with a total value of EUR 33,000,000.

·         Advising GRUPO LAR, a leading Spanish real estate developer, in connection with various land acquisitions in Bucharest and Cluj and developing residential compounds with a project investment value in excess of EUR 300,000,000. The legal work included extensive legal due diligence with respect to ownership of the various land and acquisitions, advice on all aspects related to the transaction, including drafting and negotiating promissory agreement, sale-purchase agreements and related documentation.

·         Assisting CAJA DE AHORROS Y PENSIONES DE BARCELONA ROMANIA (LA CAIXA) in relation to various multimillion real estate acquisition and development project financing in Romania totaling over EUR 200,000,000.

·         Assisting TORNATOR, a leading Finnish forest management group, with respect to their acquisitions of various forest lands in Romania of more than 15,000 ha in several locations all over Romania, with a total amount of over EUR 40,000,000. Legal work included due diligence investigations, identifying suitable options to conclude the acquisition of forest land enjoying a particular ownership regime and forest management related day-to-day advice.

·         Advising PPF ECM, one of the most active investment funds in Romania, as well as BAVARIA COMPLEX SRL, the project company established by PPF ECM in joint venture with a local partner, in relation to the development of a large office project in Bucharest.
