Global Law Experts is pleased to welcome Yasuchika Fukuda of Miyake & Partners as our Exclusive Member for International Business law in Japan. Fukuda brings a rare blend of academic scholarship, bilingual practice experience, and hands‑on cross‑border transactional and contentious work that serves multinational clients operating between Japan and the United States. His appointment strengthens GLE’s capability to bridge Japanese and U.S. legal frameworks, delivering strategic counsel on complex cross border matters. We look forward to the contributions Fukuda will make to clients and peers navigating International Business law in Japan.
Yasuchika Fukuda is a partner at Miyake & Partners and leads the firm’s Cross‑Border Team. Fukuda’s practice concentrates on antitrust (competition law), international business & trade, M&A, and litigation areas that routinely require coordination across jurisdictions and sophisticated regulatory strategy. His work serves multinational clients navigating regulatory complexities in both Japan and the United States.
Fukuda’s education and professional admissions reflect a transpacific profile: an LL.B. from Kyoto University (2009), J.D. training at Kobe University (2011), registration as a lawyer in Japan (2012), a Ph.D. from Kobe University (2019) focusing on competition law, an LL.M. from UCLA School of Law (2020), and admission to the New York bar (2021). These credentials underpin his capacity to advise on issues requiring both Japanese and U.S. law perspectives. Together, they enable him to advise on issues requiring both Japanese and U.S. law perspectives.
In addition to private practice, Fukuda maintains deep ties to legal education. He served as a legal fellow at Kobe University Law School and has been appointed Professor of Legal Practice at Kobe University Graduate School of Law, strengthening ties between academic research and practical application.
GLE selected Yasuchika Fukuda as our Exclusive Member for International Business law in Japan for three complementary reasons: cross border experience, academic expertise in competition law, and leadership at a respected Japanese firm. His LL.M. from UCLA, admission to the New York bar, and practice in a Los Angeles firm provide firsthand experience in transpacific transactions and disputes. This combination makes him a valuable resource for clients navigating U.S.–Japan matters.
Fukuda’s doctoral research and published contributions on competition law show a sustained engagement with the theory and policy that shape enforcement and transactional risk assessment. That academic depth, combined with frontline M&A, antitrust, and litigation experience at Miyake & Partners, positions Fukuda to advise both corporate clients and institutions facing regulatory review or cross border disputes.
Fukuda’s practice focuses on matters requiring multi jurisdictional coordination: regulatory and competition law advice for corporate combinations and restructurings, inbound and outbound M&A support, and drafting of complex international commercial agreements. He leads cross border engagements at Miyake & Partners, coordinating foreign counsel and managing multi‑jurisdictional document production skills critical for deals, investigations, and cross border disputes. These capabilities help clients navigate regulatory scrutiny and achieve orderly transactions.
On the scholarship and practitioner front, Fukuda completed a Ph.D. focused on merger remedies and competition policy, and has contributed to practitioner handbooks addressing antitrust questions. That blend of scholarship and practical experience is valuable where economic analysis intersects with doctrinal interpretation in merger reviews and enforcement. It enhances his ability to translate theory into actionable regulatory strategies for clients.
The phrase “International Business law in Japan” captures a broad set of legal disciplines: cross border M&A, FDI review and foreign exchange rules, competition law enforcement, trade regulation, and dispute resolution. Over the past five years Japanese regulators and policymakers have placed stronger emphasis on national security oriented FDI screening, more active competition enforcement, and tailored regulation of digital markets each area affecting how international transactions are structured and cleared. These dynamics shape deal structuring, timing, and regulatory clearance for cross border transactions involving Japan.
Foreign direct investment into Japan is subject to mandatory prior notification under FEFTA, with evolving requirements for more granular pre filing engagement in some cases. This means inbound investments in designated sectors may trigger standstill periods and scrutiny by multiple ministries, a practical concern for acquirers and target boards during deal planning. Expert legal advice is essential from the earliest structuring discussions.
The JFTC has intensified enforcement with renewed focus on cartels, bid‑rigging, abuse of superior bargaining position, and digital market issues. Its annual reports and policy statements signal emphasis on economic analysis, rigorous merger review, and tailored remedies factors that affect timelines and strategies for regulatory clearance.
Cross‑border business with Japan involves four interlocking challenges: navigating FDI screening and multi‑agency clearance, anticipating antitrust scrutiny with economic analysis for merger reviews, ensuring contractual drafting mitigates cross‑jurisdictional regulatory and enforcement risk, and managing litigation or enforcement actions that raise choice‑of‑law and cross‑border evidence issues. Each challenge demands legal practitioners who combine regulatory knowledge with transactional experience. This practical support can preserve deal value and prevent protracted disputes.
Without specialist counsel, companies risk delayed transactions, unexpected remedies, and exposure to enforcement actions. Skilled advisors not only guide compliance and filings but also help design deal structures, prepare robust arguments, coordinate foreign counsel, and negotiate remedies with authorities. This proactive approach can help align stakeholders and preserve deal value.
Fukuda’s cross‑border practice integrates three core capabilities: strategic regulatory counselling, transactional execution, and contentious resolution. For transactions, he advises on structuring to meet FEFTA filing obligations and JFTC merger review requirements, drafts protective clauses to allocate regulatory risk, and manages the documentary and economic workstreams needed for a defendable filing. This integrated approach helps clients realise timely, compliant outcomes in cross‑border deals.
In contentious matters, Fukuda combines courtroom and arbitration experience with competition law expertise to represent clients in disputes involving international evidence collection, coordination with foreign counsel, and strategy tailored to both Japanese courts and foreign fora. For multi‑jurisdictional enforcement or antitrust inquiries, Fukuda’s academic grounding in competition policy supports the preparation of reasoned economic and legal submissions. This blend ensures a coherent advocacy posture across borders.
If you are planning inbound investment into Japan or outbound deals involving Japanese targets, start with a cross‑disciplinary assessment that includes FDI/FEFTA considerations, competition risk, sectoral regulation, and likely data or export‑control constraints. Early legal input reduces the risk of surprising post‑filing requirements and enables efficient timing and integration planning. This proactive approach can help align stakeholders and preserve deal value.
For businesses already under investigation or facing antitrust issues, prioritise a clear facts‑based record, coordinate economic analysis early, and secure counsel experienced in the JFTC’s processes and in cross‑border evidence cooperation. Effective regulator engagement often determines whether matters resolve through commitments or escalate to formal orders.
Clients partnering with Fukuda can expect an advisor who blends rigorous academic analysis with practical transactional and litigation experience in both Japanese and U.S. legal systems. That means careful front‑end risk assessment, coordinated multi‑jurisdictional execution, and an advocacy posture grounded in competition policy scholarship when regulatory engagement is required. Fukuda’s bilingual, transpacific practice helps reduce friction for international clients and enhances predictability in outcomes.
International Business law in Japan is a dynamic field where regulatory design, competition enforcement, and national security considerations converge making the selection of experienced counsel a strategic priority. Yasuchika Fukuda’s cross‑border track record, scholarly credentials in competition law, and leadership of Miyake & Partners’ cross‑border practice align with GLE’s objectives for clients navigating Japan and broader International Business challenges. We welcome Fukuda to the Global Law Experts network and look forward to the contribution he will make to clients and peers addressing international business law.
